Payment terms in commercial contracts

1. Payment methods
a. For domestic enterprises
For low-value or small-volume orders, enterprises often choose simple forms such as cash payment or bank transfer. Which method to apply will depend on the trust between partners, financial capacity and the nature of the goods. Some common forms include:
- Cash payment: The buyer pays directly when signing the contract, when placing an order (WO - Cash with order), when receiving the goods (COD - Cash on delivery) or when the seller presents documents (CAD - Cash against documents).
- Payment by bank transfer: Widely used due to its convenience, safety and transparency in the transaction process.
b. For international enterprises
In foreign trade transactions, due to differences in scale, contract value, financial systems and business practices, the parties often apply more professional methods, with the participation of banks or international credit institutions. Some common forms:
- T/T (Telegraphic Transfer): Transfer money by wire.
- M/T (Mail Transfer): Transfer money by mail.
- Collection of payment.
- L/C (Letter of Credit): Payment by documentary credit.
- In addition, there are a number of other methods according to international trade practices.
2. Payment term
Payment time is an important factor, often causing disputes if it is late or not in accordance with the agreement. To encourage partners to pay on time, the parties can make detailed regulations on the number of payment days, the time of completion of financial obligations or incentives for early payment.
If the contract does not stipulate or the provision is invalid, the payment time will default to the delivery time according to the law. In case of multiple deliveries, payment will be made in corresponding installments.
Some common payment methods by term:
- Payment before delivery: The buyer pays in advance to secure the order; usually applied when the goods are of high value or the seller wants to reduce risks.
- Payment upon receipt: The buyer pays upon receipt of the goods or related documents. This method ensures a balance of interests for both parties.
- Payment after: The seller grants credit to the buyer, which means the value of the goods is often higher than the prepayment or immediate payment method.
3. Payment location
- For cash: The parties can agree on the payment location at the seller's headquarters, the place of delivery or another agreed location.
- For bank transfers: The payment location is more flexible, mainly based on the banking system chosen by both parties, helping the transaction take place quickly and conveniently.
DELIVERY POLICY
INPA provides nationwide shipping and installation services for all orders. Shipping and installation costs will be calculated based on the quantity of products, location and delivery distance.
1. Preferential policy
- Applicable products: Supermarket shelves, warehouse shelves
- Order value: From 10 million VND or more
- Delivery range: Free in Hanoi and Ho Chi Minh City
- Note: Some cases may incur additional costs depending on the delivery location or order value. For orders in the province, shipping fees range from 10,000 - 15,000 VND/km, calculated according to the actual location.
2. Delivery time
- Hanoi and Ho Chi Minh City: Delivery within 48 hours, depending on the requirements and quantity of goods.
- Outside the province: Delivery time from 2 - 15 days.
- Before delivery, the shipping department will contact the customer directly to confirm the time and location of receipt.
3. Responsibility for goods
- For orders arranged for transportation by INPA, we are fully responsible for the goods, including risks such as loss and damage during the delivery process.
- Customers need to carefully check the product upon receipt. For any questions or support requests, please contact the delivery staff or customer service department at 086.758.9999.
- After the customer has signed for receipt, INPA will not resolve return requests due to errors arising from scratches, breakage, dents or wrong product delivery.
4. Installation services
In parallel with the transportation policy, INPA also provides professional installation services thanks to a team of experienced technicians, ensuring construction on schedule, safety and aesthetics.
The installation team is fully equipped with the necessary tools, uniforms and protective equipment to complete the project effectively. Installation costs may be free or charged depending on the size and nature of each order.
